Terms and Conditions
The word “ICEWEB” herein refers to International Competitiveness Est. for Technology which is a Riyadh company, and the “Customer” is the entity agreeing to these terms.
The terms that follow are effective from the date it’s accepted (or signed for offline contracts) by the Customer or the time that ICEWEB provides the Customer with access to the Service.
If you are accepting on behalf of your employer or another entity, you represent and warrant that: (i) you have full legal authority to bind your employer or the applicable entity to these terms and conditions; (ii) you have read and understand these terms; and (iii) you agree on behalf of the party that you represent to this Agreement. If you don’t have the legal authority to bind your employer or the applicable entity please do not sign these terms).
These terms govern the Customer’s access to and use of the Services.
“Customer Information” means: (a) any data received by ICEWEB from, or maintained by ICEWEB on behalf of, the Customer, the Customer’s Affiliates and/or the Customer’s End Users in connection with the resale of G Suite and/or supply of ICEWEB’s own services, including any Personally Identifiable Information and End User passwords; and (b) any administrative accounts accessed by ICEWEB in connection with the resale of G Suite and/or supply of ICEWEB’s own services, and any passwords for such accounts.
“Google SLA” means the SLA or Service Level Agreement as defined in the Google TOS.
“Google TOS” means those terms of service that govern use of the G Suite services and the Customer must agree to them directly with Google, via acceptance by the Customer when presented by Google online.
“Personally Identifiable Information” includes, without limitation, names, contact information (including, without limitation, e-mail addresses, postal addresses and telephone numbers), government identification numbers, financial account numbers, payment card information, transaction information, credit report information, biometric information, IP addresses, network and hardware identifiers, protected health information, geolocation information, and any other information about individual persons or their use of G Suite.
“G Suite Product” means the Services that ICEWEB makes available to the Customer.
“G Suite Services” means all G Suite services described at https://gsuite.google.com/terms/user_features.html.
2. Google TOS
(a) ICEWEB, Google and the Customer are independent contractors in the resale of the G Suite Product;
(b) The Google TOS will govern the Customer access to and use of G Suite. Unless Google expressly agrees otherwise in writing, Google will notify the Customer and the Customer must accept the Google TOS, with no alteration or amendment, before the Customer’s first login to G Suite(or ICEWEB must otherwise receive express authorization from the Customer to accept on the Customer’s behalf).
(c) The Customer will permit ICEWEB to disclose the Customer’s Information to Google, for use by Google according to the Google TOS including applicable confidentiality, data processing and security terms;
(d) The Customer must provide the necessary notices, and get and maintain any consents, required from End Users to allow ICEWEB and Google to perform their respective contractual obligations;
(e) The Google SLA sets out the Customer’s sole and exclusive remedy for any failure by Google to meet the Google SLA, and the Customer must request any such remedies directly from ICEWEB; and
(f) Google will provide technical support directly to the Customer as set out in the Google TOS.
3. Technical Support
Be default, ICEWEB’s support agents have access to the Customer’s G Suite admin console as outlined at https://support.google.com/work/reseller/answer/6182366?hl=en and https://support.google.com/work/reseller/answer/7359116?hl=en&ref_topic=6172186
The Customer can disable ICEWEB’s access during the first time the Customer signs in to the admin console. When the Customer initially signs in to their new account and agree to the Google G Suite Agreement, the Customer will have the option to enable or disable reseller (ICEWEB’s) access. After the first time the Customer signs in, the Customer can enable and disable ICEWEB’s access at any time from within the Admin console.
- (a) ICEWEB will use reasonable endeavors to resolve, without escalation to Google, support issues about the G Suite product. If ICEWEB cannot resolve such support issues, ICEWEB will escalate such support request to Google on the Customer’s behalf.
4. Privacy Compliance
ICEWEB will do the following, with the respect to all personal data that it processes on the Customer’s behalf:
(a) comply with, and only act on, instructions from or on behalf of the Customer about the processing of that personal data;
(b) not process that personal data for any purpose other than for the performance of its obligations under this Agreement;
(c) Take the appropriate technical and organizational measures to avoid unauthorized or unlawful processing of that data and against loss or destruction of, or damage to, that personal data;
(d) ensure the reliability of, and be responsible for, all ICEWEB’s employees, agents and contractors who will have access to that personal data;
(e) not, by any act or omission, place the Customer in breach of Non-European Data Protection Legislation;
(f) inform the Customer as soon as possible of any suspected or confirmed data protection breaches or unauthorized or unlawful processing, loss, or destruction of, or damage to, that personal data; and
(g) ensure that any third party subcontractor engaged by ICEWEB to process that personal data on behalf of the Customer uses and accesses that data according to the terms of this Agreement and is bound by written obligations requiring it to provide at least the level of data protection required under this Part 4.
5. Sharing of Contact Details
(a) ICEWEB will provide Google with the Customer’s contact details, to allow Google to use such details to Communicate directly with the Customer for the following purposes:
(i) as required to execute any non-standard orders;
(ii) for purposes related to the provisioning of the Product(s) to the Customer’s account, including in relation to any Product updates or security incidents;
(iii) as required to notify the Customer of available options to maintain continuity in Product provisioning; and
(iv) to conduct customer service and satisfaction surveys.
(b) Google will use the Customer’s contact details to inform the Customer about new products or Google products related to the Product(s) the Customer is using and Google will use reasonable endeavors to allow the Customer to opt out of receiving such communications under this Part 5(b) at any time.
(c) ICEWEB may also disclose Customer Information to Google as reasonably required for Google to provide technical support to ICEWEB in connection with the Customer’s support issues about the Product. ICEWEB will not otherwise disclose Customer Information to Google.
6. Service Level Remedies
ICEWEB will provide any applicable Google SLA remedies directly to the Customer and the Customer will request such remedies directly from ICEWEB. ICEWEB will provide the Google SLA remedies solely as described in the applicable Google SLA.
7. Billing and Payment
The Customer has to pay any invoices received as part of usage of the service within 30 days of receiving such invoices unless otherwise indicated on the invoice itself.
ICEWEB will suspend Customer accounts with invoices that are 60 days past due. The Customer’s account will remain suspended until the Customer pays all overdue invoices in full. If the Customer’s account remains suspended for more than 60 days, the Customer’s account may transfer to Google.
the Customer must contact ICEWEB within 20 days of the beginning of the contract to request contract termination. ICEWEB does not guarantee that it will be possible to cancel annual contracts and Google reserves the right to refuse contract cancellation.
The Customer must pay a prorated amount for the usage of the service during the period between the beginning of the contract and the date of termination.
If this Agreement terminates or expires for any reason and is not renewed and the Customer wishes to buy G Suite directly from Google or from another Authorized Reseller, ICEWEB will reasonably help migrate the Customer’s account under the Customer’s request or by Google’s request. In this case, Google may transfer the Customer’s account to Google or to other applicable Authorized Reseller account, as applicable per the Customer’s request.
